Default 88' 740 transmission Issues?

Guys I have a 88" Volvo 740 Turbo wagon with about 260K. Here is my problem...

Last night I noticed that 4th gear(overdrive) would really act up when I would step on the gas. When kicking down into 3rd gear it would rev way up then engage? Not right!
I ignored it buy turning off the overdrive and proceeded to drive it a little more today. As I was headed to work to pull a overdrive solenoid of my parts car I wanted to see if the car would act up again.....
It kicked down to 3rd, revved then all the sudden I had nothing. It would just rev in "Drive", wouldn't engage in reverse nothing?? Moving the shift selector I could get "Park" and "Neutral" to work fine.

I checked the oil level and it seemed fine. I was a little concerned about how dark the ATF was, but it didn't smell burnt and still had a red color to it.

I have no idea on the mileage of the transmission or if it has ever been changed out?

What do you guys think I should do? Mess with this tranny and make it work or use a used tranny, which I have in my parts car?

Any advice would be great!

The only way an auto will miss a shift or flare on a downshift is incorrect fluid pressures or a valevbody problem.
Losing everything indicated a fluid pressure/flow problem.
Since it is cheap and easy to do, I would drop teh pan, change out teh fluid AND filter and see what happens.

Regards, Andrew.
